Please read these Terms and Conditions (“Terms,” “T&C”) carefully before using the Spodly.com website (“Service,” “Site”) operated by Spodly (“us,” “we,” or “our”). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

1. Agreement to Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. These Terms govern your purchase of any products or subscriptions offered on the Site, including GPL licensed items, themes, plugins, scripts, and design assets (PSD, Vectors, Icons, Fonts).

2. Accounts and User Responsibilities

A. Account Creation and Security

  • You must be at least 18 years old or have parental permission to use the Service.
  • You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
  • You agree not to disclose your password to any third party.
  • You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account at [email protected].

B. Prohibited Uses

You agree not to use the Service for any unlawful or prohibited activities, including, but not limited to:

  • Unauthorized Distribution: Sharing, distributing, or reselling your Spodly.com account credentials or purchased products, especially those licensed under GPL, in a manner that violates these Terms or applicable law.
  • Data Exploitation: Accessing, tampering with, or using non-public areas of the Site, Spodly’s computer systems, or the technical delivery systems of Spodly’s providers.
  • Malicious Activity: Uploading viruses, spam, or any other material that is malicious or technologically harmful.
  • Reverse Engineering: Attempting to reverse engineer or decompile any of the products or software provided, except where explicitly permitted by the GPL license.

3. Intellectual Property and Licensing

A. GPL Licensed Products

  • A majority of the WordPress themes, plugins, and PHP scripts offered on Spodly.com are licensed under the GNU General Public License (GPL).
  • The GPL grants you the freedom to use, modify, and redistribute the code.
  • Spodly.com provides access to these files as a third-party aggregator. Your purchase covers our time and effort in finding, testing, preparing, and providing these files to you.
  • We do not provide direct developer support or license keys for automatic updates from the original author, unless explicitly stated. Updates are provided via the Spodly.com platform.

B. Non-GPL Products

  • Products like PSD files, Fonts, Icons, and Vector assets are NOT covered by the GPL.
  • Your purchase grants you a Single Personal/Commercial Use License (as specified on the product page) which allows you to use the assets in your own projects.
  • Resale, redistribution, or unauthorized sharing of Non-GPL products is strictly prohibited and constitutes a violation of copyright law.

4. Pricing, Payments, and Subscriptions

A. Pricing and Availability

  • All prices for products and subscriptions are listed on the Site and are subject to change without prior notice.
  • Spodly.com reserves the right to modify or discontinue any product or service at any time.

B. Memberships (Daily, Monthly, Annual, Lifetime, VIP)

  • We offer various subscription tiers for access to our download repository.
  • Automatic Renewal: All subscriptions (Daily, Monthly, Annual) are set to automatically renew by default to prevent interruption of service. You can manage or cancel the automatic renewal feature via your account dashboard at any time.
  • Lifetime and VIP: These are special memberships whose terms are defined at the time of purchase.

C. Direct Purchase

  • Products can be purchased individually without a membership. These purchases grant you access to the file and updates for a specified period (if applicable) but do not grant access to the full repository.

5. Refund and Cancellation Policy

A. General Refund Policy (No Refunds)

Due to the digital and non-returnable nature of our products (themes, plugins, scripts, design assets), all sales are generally final and non-refundable. Once a product is downloaded or a membership grants access to the repository, it cannot be physically returned.

B. Exceptions (Product Failure)

We will consider a refund only if:

  1. The product is fundamentally non-functional and cannot be made to work on a standard, properly configured environment (e.g., standard WordPress installation).
  2. You have contacted our support team at [email protected] and allowed us a reasonable period (up to 7 days) to attempt to fix the issue.
  3. The issue is directly attributable to the product file provided by Spodly.com, not to conflicts with third-party software, host limitations, or user error.

C. Subscription Cancellation

  • Cancellation of Renewal: You may cancel the automatic renewal of your subscription at any time via your account dashboard. You will retain access to the Service until the end of your paid term.
  • Refunds for Partial Use: We do not offer pro-rata refunds (partial refunds) for unused portions of daily, monthly, or annual subscription terms upon cancellation. You are responsible for canceling before the next billing cycle.

6. Disclaimer of Warranties and Limitation of Liability

A. “As Is” Basis

The Service and all products are provided on an “as is” and “as available” basis. Spodly.com makes no warranties, expressed or implied, regarding the products provided, including, but not limited to, fitness for a particular purpose or non-infringement.

B. No Full Technical Support Guarantee

  • Spodly.com provides the products without guarantee of full technical support or professional services for installation, customization, or troubleshooting, especially for GPL-licensed products.
  • While we strive to assist with download and basic setup issues via [email protected], we do not guarantee that the products are free of errors or compatible with all third-party software.

C. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Spodly.com or its suppliers be liable for any direct, indirect, punitive, incidental, special, or consequential damages, including without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any content obtained from the Service; and (iii) unauthorized access, use, or alteration of your transmissions or content.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of Turkey, without regard to its conflict of law provisions.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
